In this contribution the proposal by the European Commission for a set of conflict rules for the third-party effects of cross-border assignments is critically reviewed, with special reference to securitizations and similar receivables-based transactions. The conclusion is that the current version of this proposal is too rigid to provide the optimal solution for the future European capital market. Such optimal solution can only be reached when party autonomy is allowed to prevail.
This article is devoted to the conflict of law rules of the international contract of sale, analysis and identification of problems of the conflict method of legal regulation. The main sources of legal regulation of international purchase and sale of goods, both at the international and national levels, are studied. Attention is drawn to the peculiarities of the application of the norms of the Vienna Convention of 1980 to relations under the contract of international sale, as well as its interaction with domestic regulations. Attention is paid to the problems of harmonization of Ukrainian legislation with European and international law in the field of legal regulation of the contract of sale.The general concept and characteristics of this agreement, as well as the features of its conclusion. Withit also the practical problems which should be considered in the course of contractual work, first of all definition of the moment of the conclusion of contracts and the beginning of action of the international agreement of purchase and sale of the goods in modern conditions of development of the state are analyzed. Based on the analysis of the essential terms of the international sale agreement, the scope of this agreement, its stages of conclusion developed measures on the feasibility of regulation at the level of the Civil Code of Ukraine provisions related to establishing requirements for the principle of close communication, determining the time of the agreement, "Law of the place of the act", issues related to the conclusion of the so-called. Formerly, EC activity in the area of private law used to be content with approximating member States' substantive laws in specified areas, and, therefore, eventual conflictual implications demanded considerable interpretative efforts. Modern Community legislation, however, increasingly complements the intended substantive-law harmonisation with provisions on conflict of laws. Given the existence of the (Rome) Convention on the Law Applicable to Contractual Obligations, implemented in the United Kingdom by the Contracts (Applicable Law) Act 1990, this new tendency, where it concerns areas falling within the Convention, raises complex questions on both legislative technique and policy. The Convention, in Article 20, expressly reserves the precedence of Community choice of law rules. However, merely to point to this priority rule appears to be too simple a solution as conflicts, before being solved, have to be defined, and that is what this article aims at. Further, as an analysis that deals with European law would be incomplete without taking into account the impact on member States' law, reference will be made to domestic English and, for the purposes of comparison, to domestic German law. The latter appears to qualify for such a comparative approach because, due to the Rome Convention already having been part of the domestic law for a considerable period, certain experience might be expected within that legal system in dealing with contract conflicts issues thereunder.
Abstract: The aim of this article is to analyse subject-specific conflicts rules of internal market law in European integration and especially their role in management of diversity, not only of Member State laws but also of different fields of substantive law in the EU. The article argues that there are subject-specific conflicts rules in internal market law that promote coherence so that this type of legislation manages diversity in a coordinated way. The analysis also shows that this type of conflicts rules have been used as a means of resolving tensions between the economic and the social. Altogether, subject-specific conflicts rules present a new understanding of the functions of private international law in European integration. Résumé: L'objectif du présent article est d'analyser les régles de conflit spécifiques á certains sujets en droit du marché intérieur dans l'intégration européenne et spécialement leur rôle dans la gestion de la diversité non seulement du droit des Etats membres mais aussi des différents domaines du droit substantiel dans l'UE. L'article indique qu'il existe des régles de conflit spécifiques á certains sujets en droit du marché intérieur qui favorisent la cohérence de telle maniére que ce type de législation gére la diversité de maniére coordonnée. L'analyse indique également que ce type de régles de conflit ont été utilisées comme moyen de résoudre les tensions entre la sphere économique et la sphére sociale. Dans l'ensemble, les régles de conflit spécifiques á certains sujets présentent une nouvelle approche des fonctions de droit international privé dans l'intégration européenne. Zusammenfassung: Ziel des Beitrages ist es, fachspezifische Kollisionsrecht sregelungen des Binnenmarktrechts hinsichtlich der europäischen Integration und insbesondere ihre Rolle bezüglich der Handhabung der Vielfalt nicht nur des nationalen Rechts der Mitgliedstaaten, sondern auch unterschiedlicher Bereiche materiellen EU-Rechts zu analysieren. Der Beitrag führt aus, dass es fachspezifische Kollis ionsrechtsregelungen im Binnenmarktrecht gibt, die ein kohärentes Rechtsverständnis fördern und somit mit der bestehenden Vielfalt in auf einander abgestimmter Weise umgeganen wird. Die Untersuchung zeigt auch, dass diese Art von Kollisionsnormen für die Bewältigung von Spannungen zwischen ökonomischen und sozialen Belangen genutzt wurden. Insgesamt lässt sich sagen, dass fachspezifische Kollisionsrech tsregelungen ein neues Verständnis der Funktion des Internationalen Privatrechts bezüglich der europäischen Integration präsentieren.
The article considers issues related to the problems of unification of conflict rules in the field of international inheritance relations, regulation of international inheritance relations. Legal relations with a foreign element are the most interesting to determine the state of their settlement, the compliance of such regulation to the interests of participants in inheritance relations with a foreign element and society not only domestic inheritance law but also inheritance law of foreign states. Conflict norms in the system of sources of legal regulation of hereditary relations with a foreign element are analyzed. The topical problems of conflict regulation of hereditary relations by means of multilateral international agreements are covered. The complication of the legal regulation of international inheritance relations arises due to conflicts between the substantive legal norms of different, as states carry out the legal regulation of inheritance relations in accordance with national law. The essence of a foreign element in inheritance relations is that the testator, all or some of the heirs may be citizens of different states, reside in different countries, and the inherited property may be in different states. One of the tools that operates in the regulation of inheritance relations are international treaties. The most effective way to unify the rules of inheritance today are international treaties, and they eliminate differences between both substantive and conflicting rules of states in this area. The definition of the concept and legal nature of unification in private international law is analyzed. It is proposed to continue the unification of conflict rules in the field of inheritance in order to properly regulate inheritance relations with a foreign element.
