AbstractThe objective of this study is to explore the motivational structures of consumers in the decision to purchase from Benefit Corporations (B Corps) by applying means‐end chain (MEC) theory and using a soft‐laddering technique. Data were collected from 20 Chilean consumers of B Corp products and services. Results revealed that the primary motivators for consuming from B Corps are (a) social/environmental responsibility, (b) self‐satisfaction, and (c) health and quality of life. Findings suggest that consumers' social and environmental values are the main motivators for purchasing from B Corps, and certification provides confidence in the effectiveness of the social or environmental contribution. Additionally, personal benefits for consumers are also relevant motivators, for instance being an agent of change and enjoying healthy and high‐quality products that are accessible online. This research is helpful in designing marketing strategies for responsible firms and B Corps and for public policymakers.
Resumen: En el presente artículo se analiza la figura de las denominadas Empresas B, surgidas recientemente en Estados Unidos (donde reciben el nombre de Benefit Corporations o B Corporations) y que se encuentran en proceso de difusión en Argentina como en el resto de Sudamérica, las cuales constituyen un modelo organizativo hibrido al combinar propósitos sociales y ambientales con aquellos netamente económicos. A tal fin, se examinan las nociones básicas de este nuevo fenómeno jurídico, sus características, similitudes y diferencias con la responsabilidad social empresaria (RSE), las posibilidades de su admisión en nuestro ordenamiento jurídico, y ciertas cuestiones atinentes a la actuación y responsabilidad de los administradores. Finalmente, se formulan algunas sugerencias para el supuesto de que sean reguladas legislativamente.Palabras Clave: Empresas B – Sociedades – Nuevo paradigma empresarial – Cuarto sector – Empresa social. Abstract: The present article analyzes the figure of the Companies called B, which have recently arisen at the United States (where they receive the name of Benefit Corporations or B Corporations) and that are in process of diffusion in Argentina as in the rest of South America. They constitute an hybrid model of organization combining social and environmental goals with those purely economic. To such an end, this article examine the basic notions of this new juridical phenomenon, his characteristics, similarities and differences with the corporate social responsibility (CSR), the possibilities of his admission in our legal system, and certain questions related to the performance and responsibility of the managers. The paper aims at investigating the process of international R&D relocation by transnational corporations abroad. The prospective impacts exerted by corporate research units on host countries and the public policy conducted for enhancing innovativeness of national economy are presented. R&D relocation implies FDI inflows by TNCs to host countries aimed at establishing corporate research units (research centers, subsidiaries engaged in research and production) as well as expanding their local ties which generate impacts on national R&D sphere and host economy. "Foreign component" of national research sphere is developed and its characteristics differ from those of domestic research entities. There are possible both favorable and unfavorable impacts exerted by foreign research units on innovativeness of domestic entities and NIS functioning. The host state should influence growth and activity of corporate foreign research units by means of investment policy (towards FDI inflows) and innovation policy (towards TNCs' innovation activity), in both cases serving a long-term strategy for enhancing innovativeness of national economy.
The incidents of a shareholder's interest & his relationship to the corporation depend upon the characteristics of the corporation as well as the legal theory of such interests. The most common form of shareholding in the US is ownership of shares in a large corporation whose shares are widely held & actively traded, usually on a nat'l exchange. In such companies, shares are so widely scattered that the traditional legal concept of control exercised by the shareholders becomes unworkable. Corporate management becomes virtually independent of any kind of internal control, raising questions of the proper definition of its legal & ethical responsibilities & the means of their enforcement. management responsibilities to shareholders should be defined with reference to shareholders' legitimate expectations, a reflection of goals of passive investors rather than those of co-owners in a business enterprise.
