Соглашение о намерениях и заверение об обстоятельствах: юридическое значение

Abstract

Учитывая предстоящую существенную модернизацию ГК РФ, в статье рассматривается вопрос о месте и юридическом значении гражданско-правовых соглашений в преддоговорном процессе. Обосновывается, что такого рода соглашения необходимо оценивать с точки зрения их конкретного содержания и отличать от соглашений (договоров) иного рода, в том числе предварительных и имущественных. Поскольку на основе проведенного сравнительного анализа отдельных положений действующего ГК РФ и проектной редакции ст. 431.2 ГК РФ «Заверения об обстоятельствах», автором показано, что частные случаи предполагаемого нововведения уже известны российскому гражданскому законодательству, доказывается, что подход законодателя к решению вопроса о кодификации норм о преддоговорной ответственности посредством введения понятия «заверения об обстоятельствах», должен быть признан целесообразным; приводятся отдельные предложения по совершенствованию российского законодательства в этой части. ; The question of a place and legal value of civil agreements in precontractual process is discussedin the article, considering the forthcoming essential modernization of the Civil Code of the Russian Federation. Locates, that such agreements need to be estimated from the point of view of their concrete contents and to distinguish from agreements of other (contracts), including preliminary and property. As on the basis of the carried-out comparative analysis of separate provisions of the existing Civil Code of the Russian Federation and design edition of Art. 431.2 of the Civil Code of the Russian Federation "Assurances about circumstances", the author says that special cases of an estimated innovation are already known to the Russian civil legislation, is proved that approach of the legislator to the solution of a question about codification of norms on precontractual responsibility by means of introduction of concept "assurances about circumstances", has to be recognized as the expedient; separate suggestions for improvement of the Russian legislation are given in this part.
